Terms and Conditions

1. Acceptance of Terms

By creating an account, subscribing to a paid plan, or accessing and using the OmniSignal platform and services (collectively, the “Service” or “Platform”), you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. The Service is provided by Quorini, Inc. (“Company,” “we,” “us,” or “our”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. Continued use of the Service constitutes acceptance of future revisions and updates to these Terms.

2. Service Description

OmniSignal is a Go-To-Market (GTM) intelligence platform and Software-as-a-Service (SaaS) that helps B2B teams turn fragmented market signals into actionable outbound and inbound growth strategies. The Platform synchronizes data from various sources, including but not limited to CRM systems, search signal patterns, competitor content, audience behavior, and public professional networks.

Features, data capacities, scan frequencies, and projects vary based on subscription tiers (Free Trial, Starter, Growth, and Enterprise). We reserve the right to modify, update, suspend, or discontinue any feature or aspect of the Service at any time with or without notice.

3. Account Management & Integrations

To use the Service, you must create a secure user account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. We reserve the right to deactivate, suspend, or terminate accounts at our sole discretion, including but not limited to instances of:

• Violations of these Terms or third-party platform policies.
• Failure to pay subscription fees when due.
• Unauthorized attempts to bypass platform usage thresholds or scrape platform-wide metadata.
• Actions that compromise the security or integrity of our systems or other users' data.

You must maintain full ownership and control of the external credentials and API integrations (e.g., Salesforce, HubSpot, LinkedIn connection tokens) that you authorize OmniSignal to connect with.

4. Subscriptions, Billing, and Refunds

By signing up for a paid subscription tier, you authorize Quorini, Inc. to charge your chosen payment method automatically on a recurring monthly or annual basis until cancellation.

• Starter Tier ($149/month): Includes weekly GTM signal scans, 1 active inbound project, and marketing strategy recommendations.
• Growth Tier ($399/month billed annually, or $599/month billed monthly): Includes daily scans, up to 3 active inbound projects, priority support, and MCP integration (connecting external models like Claude or ChatGPT).
• Enterprise Tier (Custom): Tailored to large teams, offering real-time scans, SSO, SLA guarantees, and dedicated customer success.

All subscription payments are processed securely via Stripe. Subscription fees are non-refundable, and we do not provide partial-month credits or refunds for unused periods. You may cancel your subscription at any time via your billing dashboard; cancellation will take effect at the end of your current billing cycle.

5. User Obligations & Third-Party Services

As a condition of using the Service, you represent, warrant, and agree that:

• You own or have explicit, legally binding rights and permissions to connect and sync data from the third-party platforms (including CRMs, competitor profiles, and search data) that you link to the Service.
• Your use of the Platform will strictly comply with all applicable local, national, and international laws, regulations, and third-party API agreements (such as the terms of service of LinkedIn, Salesforce, or HubSpot).
• You assume all risks associated with synchronizing CRM records and GTM signals.

6. Prohibited Uses

You agree not to, and will not permit any third party to:

• Reverse-engineer, decompile, or disassemble any aspect of the OmniSignal platform or its algorithms.
• Create multiple free-trial accounts or manipulate pricing tokens to bypass tier and project limitations.
• Utilize automation tools or scripts to interact with the Platform in a manner that degrades its performance.
• Use OmniSignal to construct a competing signal intelligence product or training dataset.

7. Disclaimers & Limitations of Liability

OMNISIGNAL IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. QUORINI, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT the Service will be uninterrupted, error-free, or secure, nor do we guarantee any specific business outcomes, inbound leads, revenue expansion, or GTM campaign success.

IN NO EVENT SHALL QUORINI, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICE. OUR TOTAL LIABILITY IS CAPPED AT THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE CLAIM.

8. Updates to Terms

We reserve the right to revise, amend, or modify these Terms at any time. If we make material changes, we will notify you by posting an update on our website or by sending an email. Your continued use of the Service after the effective date of the updated Terms constitutes your agreement to be bound by those updated Terms.
